Terms of Service

B2B Cooperation Agreement for OEM/ODM Manufacturing Services

Cooperation Scope

Applicable business models and client types

B2B Only: We exclusively serve enterprise clients, equipment manufacturers, system integrators, and distributors. We do NOT engage in retail or direct-to-consumer business.

Service Types: Wholesale supply of standard products, OEM/ODM customization, private labeling, technical joint development, and long-term exclusive supply agreements.

Geographic Coverage: We serve clients worldwide with export compliance to all major markets (CE, RoHS, REACH, FCC certifications available).

Important: All cooperation requires a formal contract or purchase order. Verbal agreements are not binding.

Order Rules

MOQ, payment terms, and delivery schedules

Minimum Order Quantity (MOQ)

  • Standard Products: MOQ 100 units per model (stock items may have lower MOQ)

  • Customized Products: MOQ 500 units per specification (negotiable for complex projects)

  • Sample Orders: 1-10 units accepted for evaluation (charged at sample pricing)

Payment Terms

  • New Clients: 30% deposit upon order confirmation, 70% balance before shipment (T/T bank transfer)

  • Established Clients: Net 30-60 days payment terms available after 3+ successful transactions

  • Accepted Methods: T/T wire transfer, L/C (Letter of Credit), PayPal (for samples only), Alibaba Trade Assurance

Delivery Schedule

  • Stock Items: 3-7 business days after payment confirmation

  • Standard Production: 15-25 business days for orders under 5,000 units

  • Custom Orders: 30-45 business days (depends on technical complexity and tooling requirements)

  • Shipping: FOB, CIF, DDP terms available. Air freight, sea freight, or express courier options.

Customization Terms

Sampling, tooling, and intellectual property

Sampling & Prototyping

  • Sample Fee: $200-$800 per prototype (depends on complexity). Fee is refundable upon mass production order of 1,000+ units.

  • Sampling Timeline: 7-15 business days for first prototype, 3-5 days for revisions.

  • Iterations: Up to 3 free design revisions included. Additional changes charged at $100-$300 per iteration.

Tooling & Mold Fees

  • Mold Cost: $1,000-$10,000 (depends on product complexity and material). One-time fee paid before production.

  • Mold Ownership: Client owns the mold after full payment. We retain molds for free storage up to 2 years.

  • Mold Maintenance: Free maintenance for first 50,000 shots. Repair/replacement costs shared 50/50 thereafter.

Intellectual Property

  • Client IP: All client-provided designs, trademarks, and specifications remain client property. We sign NDA upon request.

  • Our IP: Standard product designs and manufacturing processes are our property. Custom designs become client IP after full payment.

  • Confidentiality: We commit to not disclose or reproduce custom products for 5 years without written consent.

Quality & After-Sales

Inspection standards and warranty policies

Quality Assurance

  • Standards: ISO 9001:2008, OIML R60/R62 compliance. All products undergo 48-hour high-low temperature cycling and load durability testing.

  • Inspection: 100% factory inspection before shipment. Third-party inspection (SGS, TÜV, BV) accepted at client's cost.

  • Documentation: Calibration certificates, test reports, material certificates, and CE/RoHS declarations provided with each shipment.

  • Defect Rate: We guarantee ≤0.3% defect rate. Excess defects trigger free replacement or full refund.

Warranty Policy

  • Standard Warranty: 12 months from delivery date for manufacturing defects (24 months for premium products).

  • Coverage: Free repair or replacement for defects in materials or workmanship under normal use conditions.

  • Exclusions: Damage from misuse, improper installation, unauthorized modifications, or force majeure events.

  • Claim Process: Report defects within 7 days of discovery. Provide photos/videos and return defective units for analysis (freight prepaid by us).

Technical Support

  • Installation Guidance: Free remote training via video call. On-site training available at client's expense.

  • Spare Parts: Guaranteed availability for 5 years after product discontinuation.

Breach of Contract & Dispute Resolution

Liability terms and legal procedures

Breach of Contract

  • Payment Delay: Orders unpaid 7 days after due date incur 1.5% monthly interest. Shipment withheld until full payment received.

  • Order Cancellation: Client cancellations after production starts forfeit 30% deposit. Completed goods must be paid in full.

  • Delivery Delay (Our Fault): If we miss agreed delivery date by >15 days, client may claim 0.5% of order value per week as compensation (max 5%).

  • Quality Issues: If defect rate exceeds 3%, we provide full refund or free replacement plus 10% compensation for affected units.

Force Majeure

Neither party is liable for delays or failures caused by:

  • Natural disasters (earthquake, flood, fire), war, epidemic, government restrictions, or transportation disruptions beyond reasonable control.

  • Affected party must notify the other within 3 days and provide official documentation. Delivery timeline extended by duration of force majeure.

Dispute Resolution

  • Negotiation: Parties agree to resolve disputes through good-faith negotiation within 30 days of dispute notice.

  • Mediation: If negotiation fails, parties may seek mediation through China International Economic and Trade Arbitration Commission (CIETAC).

  • Arbitration: Unresolved disputes submitted to CIETAC arbitration in Xi'an, China. Arbitration award is final and binding.

  • Governing Law: This agreement is governed by the laws of the People's Republic of China and UN Convention on Contracts for the International Sale of Goods (CISG).

Limitation of Liability

  • Our total liability for any claim shall not exceed the value of the specific order in dispute.

  • We are not liable for indirect, consequential, or punitive damages (e.g., lost profits, business interruption, or third-party claims).

  • Client assumes all risks related to product integration, end-user application, and regulatory compliance in destination markets.
